Terms of Service

Article 1 (Acceptance of Terms)

These Terms of Service ("Terms") set forth the conditions for use of Down2Debate ("the Service"), operated by Clave LLC ("we", "us", or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

Article 2 (Registration)

  1. To use the Service, you must create an account by providing accurate and complete information through the prescribed registration method.
  2. We may decline registration if the applicant:
    • Provides false or inaccurate information
    • Has previously violated these Terms
    • Is otherwise deemed inappropriate for registration by us

Article 3 (Age Requirements)

The Service is intended for users aged 13 and older. If you are under 13, you may not create an account or use the Service. If you are between 13 and 18 (or the age of majority in your jurisdiction), you must have the consent of a parent or legal guardian to use the Service. By using the Service, you represent that you meet these age requirements.

Article 4 (Prohibited Actions)

Users shall not engage in any of the following when using the Service:

  • Actions that violate applicable laws or public order
  • Actions related to criminal activity
  • Infringing on intellectual property rights, privacy, honor, or other rights of us, other users, or third parties
  • Harassment, threats, bullying, or intimidation of other users
  • Hate speech, discriminatory remarks, or slurs based on race, gender, sexual orientation, religion, nationality, disability, or other protected characteristics
  • Obscene, sexually explicit, violent, or gratuitously offensive expressions
  • Impersonating other users or public figures
  • Destroying, interfering with, or disrupting the servers, networks, or infrastructure of the Service
  • Unauthorized access or attempts to access systems or data without authorization
  • Collecting or harvesting personal information about other users
  • Reverse engineering, decompiling, or disassembling any part of the Service
  • Using automated tools (bots, scrapers) to access the Service without our written permission
  • Any other actions we deem inappropriate

Article 5 (User-Generated Content and Voice Data)

  • The Service allows you to create and share voice-based debate content ("User Content"). You retain ownership of your User Content.
  • By using the Service, you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, process, adapt, and display your User Content solely for the purpose of operating, improving, and promoting the Service.
  • Your debate audio may be recorded and temporarily stored on our servers for the purpose of AI judging, transcription, and replay functionality.
  • Speech-to-text transcription of your debate audio is generated automatically and sent to third-party AI services (OpenAI) for the purpose of generating AI judge evaluations and AI opponent responses.
  • You are solely responsible for the content of your debates. You must not include personal information of third parties, confidential information, or content that violates these Terms in your debates.
  • We reserve the right to remove or restrict access to any User Content that violates these Terms, without prior notice.

Article 6 (AI Features Disclaimer)

  • The Service utilizes artificial intelligence ("AI") for debate judging, AI opponent responses, and content analysis. AI-generated content is provided for entertainment and educational purposes only.
  • AI judge evaluations do not constitute professional, legal, academic, or authoritative assessments. Results should not be relied upon for any purpose beyond entertainment.
  • Statements made by AI opponents do not represent the views, opinions, or positions of Down2Debate or its operators. AI opponents argue assigned positions (PRO or CON) regardless of factual accuracy.
  • We do not guarantee the accuracy, fairness, completeness, or reliability of any AI-generated content. AI systems may produce errors, biases, or inappropriate content.
  • We are not liable for any decisions made or actions taken based on AI-generated content within the Service.

Article 7 (Intellectual Property)

All intellectual property rights in the Service (including but not limited to software, design, logos, trademarks, and AI models) are owned by us or our licensors. These Terms do not grant you any rights to use our trademarks, logos, or branding. The open-source components used in the Service are subject to their respective licenses.

Article 8 (Service Suspension)

We may suspend or interrupt all or part of the Service without prior notice if:

  • Performing maintenance or updates to our systems
  • Force majeure events (earthquakes, natural disasters, power outages, etc.) make provision difficult
  • Computer or communication systems are disrupted by accidents
  • We otherwise determine that continued provision is impractical

Article 9 (Usage Restrictions and Account Termination)

We may restrict your use of all or part of the Service, or terminate your account without prior notice if you:

  • Violate any provision of these Terms
  • Provided false information during registration
  • Are otherwise deemed unsuitable by us for continued use of the Service

Article 10 (Account Deletion)

You may delete your account at any time through the account settings within the app. Upon account deletion, your personal data will be deleted in accordance with our Privacy Policy. Some data may be retained as required by law or for legitimate business purposes (e.g., fraud prevention).

Article 11 (Subscriptions and Payments)

Certain features of the Service may require a paid subscription. Subscriptions are processed through the Apple App Store or Google Play Store, and are subject to the respective platform's terms and conditions. You may manage or cancel your subscription through the platform's subscription management settings. Refund policies are governed by the respective platform.

Article 12 (Disclaimer and Limitation of Liability)

  • THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
  • We do not guarantee the safety, reliability, accuracy, completeness, legality, or fitness for any particular purpose of the Service.
  • TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES.
  • If applicable consumer protection laws (such as the Japanese Consumer Contract Act) prohibit certain limitations of liability, those limitations shall not apply to the extent prohibited.

Article 13 (Changes to Service Content)

We may change, add, or discontinue features of the Service with reasonable prior notice to users. Users acknowledge and accept that the Service may evolve over time.

Article 14 (Changes to Terms)

We may update these Terms at any time. Material changes will be communicated through in-app notifications or email. Your continued use of the Service after such changes constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you should stop using the Service and delete your account.

Article 15 (Governing Law and Jurisdiction)

These Terms shall be governed by and construed in accordance with the laws of Japan.

Any disputes arising out of or relating to the Service or these Terms shall be subject to the exclusive jurisdiction of the courts located at our principal place of business.

For users in the European Union, nothing in these Terms affects your rights under mandatory consumer protection laws of your country of residence.
